0:23 uh this meeting this evening is being
0:26 held entirely remotely
0:27 the purpose of tonight's meeting is to
0:29 consider a b
0:30 7898 tyler technologies contract
0:33 amendment
0:34 and then to recess into executive
0:37 session to discuss
0:38 pending and or potential litigation
0:41 a call-in number was provided on the
0:43 meeting agenda for members of the public
0:45 who wish to listen to the open
0:46 portions of the meeting however the
0:48 executive session portion of the meeting
0:50 will be closed to the public
0:52 i'd like to take a roll call of the

1:41 so the action item we have this evening
1:42 is ab7898
1:44 tyler technology's contract amendment
1:47 this item was postponed from the may 4th
1:49 city council meeting
1:51 at the may 4th meeting council had some
1:53 questions on the agenda bill and
1:54 postponed it till tonight's meeting
1:56 in response staff has updated the agenda
1:58 bill to provide additional information
2:00 and finance director beth goldberg is on
2:03 hand to briefly go over the new material
2:05 and answer any questions director

2:13 thank you madam mayor i needed to take
2:16 my microphone off mute
2:20 so i uh hoping that if tisha could
2:23 uh put a exhibit d
2:26 on the screen and uh my thought for this
2:30 evening
2:31 was uh there were two questions that i
2:33 understand from monday evening
2:35 one is the end date of the contract
2:39 and i included in the agenda bill uh the
2:42 page reference
2:43 where that end date is and then there
2:46 were some questions
2:47 over how the costs in the contract
2:52 uh tied in with
2:55 what we were assuming for the total cost
2:57 of this
2:58 and uh the the contract
3:02 itself is what's a contract amendment
3:06 to our base tyler contract
3:09 and uh the contract amendment the costs
3:12 within that
3:13 are admittedly a little bit confusing so
3:17 what we did is we put together this
3:19 exhibit d
3:20 and exhibit the uh go sequentially
3:23 through the contract amendment the
3:26 language which you'll see in exhibit a
3:29 and it catalogs each of those cost
3:32 categories
3:33 um and so if you look at exhibit b
3:36 there's a page reference column that
3:39 ties
3:40 to uh the various components within the
3:43 contract
3:44 and then what we did is we apportioned
3:46 it by year
3:47 so um it's a little bit tricky doing
3:50 this online without having a paper copy
3:52 next to it because you kind of need to
3:54 look at
3:55 exhibit a and exhibit d next to each
3:57 other
3:58 but the bottom line is that uh the
4:01 contract amendment and the
4:03 re-implementation work
4:05 will uh will cost the city
4:08 uh just over a million dollars a million
4:10 fifty-four dollars
4:12 uh and this represents about uh
4:15 over 300 000 savings from what we had
4:18 assumed
4:19 in the 2020 adopted budget as well
4:23 as the 2020 through 2025 cip
4:27 and i'm talking about both documents
4:29 because the 2020 adopted budget
4:32 included appropriation for the 2020 cost
4:37 and then the cip acknowledged costs for
4:41 2021
4:42 um we're now going to need a small
4:45 amount in 2020 this is going to take a
4:47 little bit longer than we originally
4:48 anticipated
4:50 but a three-year duration for less
4:52 overall money than
4:54 uh what was assumed in the 2020 adopted
4:57 budget
4:58 and the 2020 through 2025
5:01 cip and i could stop there
5:04 and see if there are any questions that
5:07 i can answer
5:14 just a reminder just a reminder to count
5:19 gonna have to get back to me
5:23 just a reminder to council members if
5:25 you'd like to ask a question
5:27 uh you need to do that on the um
5:31 conversation side and i can see that uh
5:33 councilman uh deputy council president
5:35 ray has a question

5:45 had um
5:47 on monday night when i look at exhibit
5:52 a which is the amendment itself it
5:55 includes
5:56 a payment schedule for three hundred and
5:58 ninety nine thousand dollars seven
6:00 hundred
6:00 and three hundred three hundred ninety
6:02 nine seven twenty five
6:04 i that is the amount that we have in the
6:07 agenda bill
6:08 for 2020 and 2021 combined i get that
6:11 part
6:12 what i'm wondering is are we just
6:14 planning to do another amendment then
6:16 that will address the payment plan for
6:18 the balance or where is the balance
6:20 address because i don't see how we could
6:22 pay them more than this 399
6:25 725 based on this amendment
6:30 uh the amendment is actually for a
6:32 million 54.
6:34 so where would i find that so we're
6:36 looking for that
6:38 yeah so it's not it's not there is not a
6:40 thing
6:41 the way tyler writes this contract there
6:44 is not
6:44 a single number there there are the
6:46 various components so
6:48 if you look at exhibit d you will see
6:51 the 399
6:52 pulled out at the um
6:56 lines i'm sorry i'm having to look at
6:58 this
7:00 um so if you look at exhibit d
7:04 uh rows uh one through eight
7:09 you will see the 399 there that
7:13 is for uh what tyler calls
7:16 implementation service payments in
7:19 addition to that
7:20 there are other components of the
7:21 re-implementation work
7:23 that are documented later in exhibit a
7:27 and also here in exhibit d so you start
7:30 to see those in exhibit d
7:32 catalogs from lines 11 down to lines 24
7:38 that's the tyler investment summary
7:40 quote
7:41 and then you have additional costs
7:45 uh that um
7:46 [Music]
7:48 including like city project management
7:50 costs and things of that nature
7:52 all of that totals over the course of
7:54 three years
7:56 uh million 54. uh the budget
7:59 um has appropriated and for that you
8:02 need to go to exhibit c
8:04 uh if you look at exhibit c you'll see
8:07 what is appropriated in each year so
8:09 in exhibit c uh the 2020 adopted budget
8:13 appropriated a million 42
8:17 for this project based on the scope of
8:20 work that is documented in exhibit a
8:23 we we are only going to need 621
8:26 000 of that in the initial year
8:30 uh we will then have uh
8:33 an anticipated 389 thousand dollars
8:36 worth of costs
8:38 in 2021 which we'll need to get
8:41 appropriation for
8:42 is part of the 2021 budget process
8:45 because remember this is a multi-year
8:47 capital project
8:49 um and then uh in 2020
8:52 uh 2022 there will be an additional need
8:55 for about forty three thousand dollars
8:58 when you look at the six hundred and
8:59 twenty one thousand in 2020
9:02 the 389 000 need i'm talking off of
9:05 exhibit c right now
9:10 it's right before exhibit d it was in
9:13 the little last
9:14 page of the original packet and the
9:17 second to last page of
9:20 tonight's packet got it so the only
9:23 thing new
9:24 in tonight's packet is exhibit d
9:29 but exhibit c breaks down the cost and
9:32 summarizes the cost and it was
9:34 an attempt to bring some clarity to
9:37 the admittedly confusing tyler contract
9:40 but in response to your questions from
9:42 monday evening we added exhibit d
9:45 that takes the components within the
9:47 contract
9:49 and catalogs those out so if you look at
9:51 the bottom line
9:52 total of exhibit d um
9:56 it's the million 54 which ties to the
10:00 million 54
10:01 in exhibit c which then compares
10:05 um the amounts by by city budget year
10:09 yeah i am i have no problem with the
10:10 total dollar amount i have no problem
10:12 with it with the budget implications
10:14 i just can't figure out how you are
10:17 going to justify
10:18 paying tyler technologies beyond the end
10:20 of 2021 with that amendment
10:22 because i see a payment plan for 399
10:26 000 and i don't see anything beyond that
10:29 so i don't
10:29 i don't i don't understand how how you
10:32 do that so
10:33 you know if you you got that figured out
10:35 then i guess i'm okay but
10:36 um this is it is it is an
10:40 incredibly confusing document
10:43 yeah so you need to scroll this contract
10:45 speaks to more than 399 thousand dollars
10:49 the 399 000 and i'm going to have to
10:51 scroll through this so forgive me
10:53 but beth the amendment doesn't speak to
10:55 more than 399
10:56 000. the exhibits have a reference to
10:59 things more than that
11:00 but if you look at the document called
11:02 the amendment the only dollar amount i
11:04 see in there is 399 750.
11:07 i mean it's it's that's the number i
11:10 mean unless i'm missing is there another
11:11 number in the
11:12 document that is the amendment that says
11:15 something other than
11:16 399 750 725 sorry yeah so
11:19 so let me i've got to scroll through
11:21 this sorry it's so cozy this
11:23 is life in the time of remote working
11:30 and it's rather long
11:34 well the the amendment itself is rather
11:36 short it's three pages
11:39 yeah the amendment itself is covered the
11:42 the way tyler does this is they have
11:46 the service component of it in those
11:48 initial pages that you're looking at
11:51 and then if you scroll down sorry this
11:54 is super clumsy um
12:05 i i guess i don't i don't understand

12:08 don't i mean are there no services
12:10 beyond the first two years is that
12:12 that is it all software after that um
12:15 it's a
12:15 uh it's an saas agreement after that
12:19 it's
12:19 o m after that so we're this isn't an
12:22 amendment to the existing tyler contract
12:26 that the city signed in 2014
12:30 the amendment that is multiple pages in
12:33 your packet it's more than the three
12:35 pages
12:36 covers the re-implementation work um
12:40 it includes um
12:43 it includes the 399 that you are talking
12:46 about
12:47 um that is appears
12:50 on pages 7
12:54 of 91 and 8 of 91 in your packet
12:58 and then if you scroll through two pages

13:19 there are no
13:20 references in the first three pages
13:21 which is the amendment itself
13:23 to any exhibit so i mean i'm
13:26 i'm having structural problems this
13:28 isn't a content thing i'm happy with the
13:30 dollars i'm happy with the services
13:32 i'm happy with the scope of work but
13:34 structurally this
13:35 amendment makes absolutely no sense to
13:37 me absolutely no sense
13:40 i mean i'm just putting it out there
13:44 you know there the amendment should say
13:47 you know as ex as defined in exhibit you
13:50 know a b
13:51 c or d you know it's got these these uh
13:54 these other components and it it doesn't
13:56 do that
13:57 so i i just i'm i'm just baffled at how
14:00 how this how how this got past the legal
14:02 review
14:04 so it did go through legal review and um
14:08 we can certainly go back to tyler and
14:11 uh ask them to rewrite the contract in a
14:14 different manner but
14:16 it will uh lead to additional time
14:19 before we can get started on this
14:21 so but if that's the council's if that's
14:24 the council's preference
14:25 we can uh go back to tyler and uh
14:29 and try and have them present this um in
14:32 a different
14:32 in a different way

15:07 and under um after the last
15:10 after now therefore number one says the
15:12 services
15:13 the services set forth in the investment
15:16 summary
15:17 attached here to as exhibit one are
15:20 hereby added to the agreement
15:22 so uh where
15:26 is exhibit one if you can help
15:29 if somebody can find oh here it is
15:31 exhibit one the following investment
15:33 summary
15:34 and then it goes down and does the
15:36 investment
15:37 summary have some total
15:41 up to if the investment
15:44 summary somehow totals the one point
15:47 whatever it is million dollars then
15:49 then those numbers would be incorporated
15:51 in the amendment
15:54 yeah that's this is beth so so yes so
15:57 exhibit one
15:59 is displayed in exhibit d
16:03 um as the next section of costs
16:07 so the first section the 399
16:11 is shown in those first lines of
16:15 exhibit d and then exhibit d
16:18 takes the cost that council member
16:21 goodman just pointed out
16:23 in exhibit one and as those
16:27 in the sections uh let me find the row
16:29 reference
16:31 starting with row 10 row 10 through
16:34 24 of exhibit d
16:39 and then uh rows 26
16:43 through 31 30
16:46 include um costs such as city project
16:50 management costs and things of that
16:52 nature
16:53 and that's how you get to the million
16:54 54. so
16:56 all of those components are are
16:59 documented
17:00 and alluded to except for for example
17:02 city project management costs because
17:04 that's not that's not a part of this is
17:06 documented
17:08 um within the contract that we are
17:11 seeking
17:11 the contract amendment that we are
17:13 seeking council authorization to have
17:15 the mayor sign
17:19 um okay i
17:25 there isn't the exhibit one that i see
17:28 is the one that's right after there's
17:31 one that's actually called exhibit one
17:33 investment
17:34 summary
17:39 that has eight pages and i'm just trying
17:41 to figure out if that
17:43 i realize that exhibit d states
17:45 everything in a different way
17:47 but if exhibit one that's right after
17:49 the amendment
17:52 includes everything that's in exhibit d
17:55 that you
17:55 provided tonight then i would think
17:58 we're
17:59 golden but they don't look the same

18:08 so i can't tell

18:50 the amendment you see exhibit one

18:54 so the amendment incorporates the
18:56 investment summary which is in exhibit

18:58 so if exhibit one is the same as exhibit
19:02 they're just differently presented than
19:04 we're golden
19:05 and that's where i see one of the
19:07 numbers 777187 but i don't see the 300
19:11 some number well anyway oh wait
19:14 yeah so i'm can i take a stab at trying
19:17 to explain it
19:18 so first of all i think we we're
19:21 tripping over
19:21 exhibit references um the tyler
19:25 contract amendment which is exhibit a in
19:28 your packet
19:29 has also multiple exhibit references and
19:32 as i'm thinking about this now
19:34 or that we may be having confusion so
19:37 um so that might be adding to it but
19:40 the the the 777 that you're seeing
19:44 in in tyler exhibit one
19:47 is um is spread
19:51 across multiple years
19:54 on and the 777 is including some
19:58 components
20:03 that are displayed in rows 11 through
20:06 24. so this is attempting to
20:09 to parse out um
20:13 the the various items in different
20:14 buckets
20:18 okay

20:30 i have um a question which i believe is
20:33 for the
20:34 clerks so um in our
20:37 motion the recommended motion it refers
20:39 specifically
20:40 to exhibit a and there's a lot of
20:42 discussion right now about the content
20:44 in the other exhibits which are may or
20:46 may not be
20:47 linked to exhibit a directly and so i'm
20:50 wondering if
20:52 if it would be better and if it might
20:53 address some of this
20:55 to refer to the exhibit a
20:58 as well as supporting documentation in
21:00 the a b
21:05 uh council president hunt this is tisha
21:08 and um i
21:09 might need best assistance with this but
21:11 my understanding is
21:12 exhibits b through d of the agenda bill
21:16 our staffs materials that they've
21:17 provided to you and developed for you to
21:19 help
21:20 um support this recommendation but the
21:22 the
21:23 contract amendment that you'd be
21:24 authorizing the mayor to enter into
21:27 is comprised of exhibit a
21:30 in the agenda bill and all the exhibits
21:32 to um
21:33 the contract which are all together
21:36 exhibit a and the agenda bill so
21:38 i believe the motion is worded correctly
21:41 i don't know if you have any uh
21:42 differing opinions beth or
21:45 jim but that's my opinion

23:27 tricky one because i support the
23:30 amendment but i do agree with council
23:34 member ray
23:35 that we should be able to
23:38 at the very least open up the agenda
23:40 bill and point to
23:42 um it it just needs to be clear
23:47 um unless i was trying to figure stuff
23:50 out here and i missed the last
23:52 clarity so if so i would be interested
23:55 in knowing from
23:56 the makers of the motion and the second
23:59 who and other council members um
24:02 where the where the clarity
24:06 is because i have no doubt that this
24:09 will eventually get approved i don't i
24:11 you know i'd like to get going on this
24:12 project um but i would like some clarity
24:14 because
24:15 you know we have to we have to answer to
24:17 the community um
24:18 and um i i also want to
24:22 well i don't have another comment right
24:23 now so i so i'm looking for others to
24:25 tell me why it is they're comfortable
24:27 and where they click where the
24:29 how we connect the dots here thank you

24:35 could get council member d michelle
24:37 to um do a second in an audio format

24:50 like to comment
24:51 i am going to ask first if the city
24:53 administrator
24:54 could provide some additional
24:55 information and then we'll come back to
24:57 comments

25:02 yes uh madam mayor members of the
25:04 council um
25:05 i'd like to uh ask the city attorney
25:08 also to
25:09 to chime in here um i think what we're
25:12 doing
25:12 uh mr haney is authorizing this the
25:15 mayor to enter into an executed contract
25:18 we have presented uh the terms
25:21 to the contract perhaps not in the
25:23 clearest of form but i believe all the
25:25 terms are present
25:27 if the mayor certifies to the council uh
25:30 that she will
25:31 uh ask the staff to uh
25:35 re prepare the document in a clearer
25:37 form and that she will not
25:39 sign it until it is presented during a
25:40 clear reform mr haney
25:43 is the uh council's uh direction to do
25:46 that
25:46 contained in the motion currently
25:50 i would say yes the motion incorporates
25:53 all of the exhibits so i think that
25:56 that would be clear and i think the
25:58 mayor could work within those exhibits
26:00 to make the contract more clear
26:03 and that mayor then with the at with the
26:06 authorization by the council
26:08 you would not then if you could if you
26:10 could stipulate to this if you feel
26:12 comfortable
26:13 that you would not sign the actual
26:14 document until you are satisfied
26:16 uh that it is that the exhibits are
26:18 prepared in a more
26:19 clear and concise manner absolutely i
26:22 think that's a completely reasonable
26:24 request
26:26 thank you very much for that we'll go to

26:38 i believe fully this is something we
26:42 need to do
26:42 i am completely comfortable with the
26:45 cost of doing it
26:46 and i could get behind the notion if we
26:49 could
26:51 present the amendment in such a way that
26:54 it is
26:55 more readily understandable so as long
26:58 as that was
27:01 in in the offing i could get behind this
27:09 council president hunt
27:16 thank you thank you madam mayor um so i
27:20 think that this is something this tech
27:23 the
27:23 re-implementation of munis is something
27:25 that we absolutely need to do
27:28 we have spoken about this many times
27:30 about the reasons why we have to do it
27:32 but it's best practice to have this kind
27:34 financial system in place so we can get
27:36 timely
27:37 information about our financial position
27:39 and get timely financial statements and
27:42 it's
27:42 very important for for our city
27:46 so that's the big picture of why i'm why
27:49 i made the motion is because i think
27:50 this is something we need to do
27:52 i i agree with my fellow council members
27:55 who have expressed
27:56 um a number of concerns about the way
28:00 the document is laid out in our a b
28:03 i think it's particularly confusing
28:04 because there's exhibits to
28:07 an exhibit and then there's exhibits to
28:09 the a b
28:10 and they have the same sort of you know
28:12 numbering and it's very confusing
28:15 so i appreciate that the mayor will make
28:16 that more straightforward and
28:18 and otherwise the reason i made the
28:20 motion is because i strongly feel this
28:22 something we need to do so we are better
28:25 able to document and get timely
28:27 information about our financial
28:29 statements thanks thank you council
28:32 president hunt i'm gonna
28:33 wait a few minutes to see or a few
28:35 seconds to see if anybody else would
28:37 like to comment
28:38 on this before we move uh councilmember

28:48 um the suggestion um that this not be
28:52 executed until uh it's made clear by the
28:57 um it's clear to the mayor that it's
28:59 clear
29:00 and then um if that could be
29:05 um i was going to say if that could be
29:07 kept in some official
29:09 i guess we keep the official records um
29:12 but i i
29:13 i can support that thank you

29:23 thank you madam mayor i i wondered if
29:25 there is some
29:27 um if we i think that the city attorney
29:30 did say that it is
29:32 possible to sort of incorporate it
29:33 without directly referencing it in the
29:35 motion but i also wondered if it would
29:38 more straightforward to incorporate some
29:40 reference to this
29:41 in the motion which i could then make as
29:43 an amendment
29:46 uh we will check into that city
29:48 administrator bob quits you want to make
29:50 a comment
29:52 yes madam mayor members of the council i
29:54 think it would be appropriate if the
29:55 maker of the motion wished to amend the
29:57 motion
29:58 that the mayor would transmit a copy of
30:01 the executed agreement back to the
30:03 council
30:04 once it has been done so that the loop
30:06 is then closed the original will be
30:08 filed with the clerk
30:10 but then the council would see that the
30:12 mayor has done that
30:21 um i'm going to come back to council
30:24 president hunt would that satisfy the
30:26 request that you were just making
30:27 or the query that you had
30:31 yes that would um so i
30:35 um so i'll check first with the clerk um
30:38 so the motion i'm going to make a um
30:42 an amendment and so i um the amendment
30:44 would be
30:45 to add the following language which is
30:49 the mayor will transmit the executed
30:52 contract
30:52 to the council
31:00 upon execution is that a
31:04 sound motion let's check with the city
31:07 clerk
31:07 um the amendment would be to add and
31:10 that the mayor will transmit the
31:11 executed contract
31:13 to the council uh city clerk can you
31:16 give us a comment on that

31:20 and if
31:20 you're offering it as amendment as an
31:22 amendment counsel president hunt and we
31:25 just need a second
31:26 and can proceed to vote on the amendment
